Onieu Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Onieu website, product, and related services (together, “Onieu”) operated by Onieu Technologies LLC.

Submitting a Request Access form is a request only. It does not accept these Terms or the Privacy Policy. Acceptance happens only after you are approved and sign in to the Onieu app, where you check the unselected legal acknowledgment checkbox and then continue. If you are using Onieu for a business, you represent that you have authority to bind that business.

Onieu is a voice-first office assistant. You speak or type. Onieu prepares. You approve. Nothing gets sent without your approval.

1. Request Access and Accounts

Request Access is a request for product access, not a mailing list and not a paid subscription. Submitting a request does not create an account, does not guarantee a seat, does not entitle you to use Onieu, and does not constitute acceptance of these Terms or the Privacy Policy.

Access is reviewed. Onieu Technologies LLC may approve, deny, delay, limit, suspend, or revoke access at any time, including for security, capacity, product, or policy reasons.

After access is approved, you may sign in to the Onieu app with email and password. These Terms and the Privacy Policy are accepted only when you check the unselected legal acknowledgment checkbox in the app and then continue. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for activity on your account.

2. Early and Limited Product

Onieu is provided as an early, invitation-based, or limited product. Features may change, be incomplete, or be unavailable. Availability, uptime, and performance are not guaranteed.

Some capabilities shown on the website are labeled Coming Soon and are not part of the current product. Do not rely on future features when deciding to request access or use Onieu.

3. Owner Approval Before Anything Is Sent

Onieu prepares drafts, reminders, documents, and other office actions for your review. Nothing is sent, written to an external service, or otherwise released as a customer-facing action until you approve it.

You are responsible for reviewing anything Onieu prepares before you approve it, including emails, estimates, appointments, and other outbound actions.

4. Your Content

You retain ownership of the business content you provide to Onieu, including customer information, contacts, emails, invoices, estimates, documents, photos, recordings you upload, and other business records.

You grant Onieu Technologies LLC a limited license to host, process, and display that content only as needed to operate Onieu for you, subject to the Privacy Policy and these Terms.

You represent that you have the rights needed to provide that content and that it does not violate law or third-party rights.

5. Onieu Intellectual Property

The Onieu name, product, website, software, designs, workflows, branding, and related intellectual property remain the exclusive property of Onieu Technologies LLC.

These Terms do not transfer any ownership in Onieu to you. You may not copy, reverse engineer, resell, or create derivative works from the Onieu platform except as expressly permitted in writing by Onieu Technologies LLC.

6. Acceptable Use

You may not use Onieu to:

• Break the law or infringe anyone’s rights.
• Upload or send content you do not have the right to use.
• Attempt to access another person’s account or private data.
• Interfere with, probe, or disrupt Onieu’s systems or security.
• Use Onieu to send spam or deceptive communications.
• Misrepresent that Onieu sent something you did not approve.

We may suspend or terminate access if we reasonably believe these Terms, the Privacy Policy, or applicable law have been violated.

7. Third-Party Services

If you connect a third-party service such as Gmail, Google Calendar, Google Contacts, Google Docs, or similar tools, you authorize Onieu to use that connection only to carry out actions you approve, subject to that provider’s terms.

Onieu Technologies LLC is not responsible for third-party services, outages, or changes those providers make.

8. Billing / Subscription / Cancellation

If you cancel a paid Onieu subscription, cancellation will take effect at the end of your then-current paid billing period. You will retain access through the end of that period and will not be charged for a subsequent renewal. Except where required by law or expressly stated otherwise, cancellation does not automatically provide a prorated refund or credit for unused time in the current billing period.

9. Privacy

How Onieu collects, uses, and protects information is described in the Privacy Policy. The Privacy Policy is part of how we operate Onieu and should be read with these Terms.

10. Disclaimers

Onieu is provided “as is” and “as available.” To the fullest extent permitted by law, Onieu Technologies LLC disclaims warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Onieu does not replace your professional, legal, accounting, or tax judgment. You remain responsible for your business decisions and for anything you approve.

11. Limitation of Liability

To the fullest extent permitted by law, Onieu Technologies LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from your use of Onieu.

Our total liability for any claim relating to Onieu will not exceed the greater of one hundred U.S. dollars (US $100) or the amount you paid Onieu Technologies LLC for Onieu in the twelve months before the claim. If you have not paid for Onieu, that amount is US $100.

12. Changes

We may update these Terms as Onieu evolves. When we do, we will update the Last Updated date. When required, you will be asked to review and expressly accept the updated Terms in the Onieu app before continuing to use the service.
